What is a Mauritius VCC?

A VCC is a versatile structure that allows fund managers and investors to operate multiple sub-funds (SFs) and special purpose vehicles (SPVs) under one central platform.

Each sub-fund can choose to operate independently with its own investment strategy, investors and NAV — but shares the VCC’s regulatory licence, governance framework and operational infrastructure. This dramatically reduces the cost and time to market for new fund strategies.

VCC Umbrella FAQ

No standalone CIS Manager licence is required. As the licensed Fund Manager, Prime Fund Management holds the FSC CIS Manager licence. Each sub-fund requires its own sub-fund licence from the FSC — Prime coordinates this application on your behalf. You remain responsible for your investment decisions as the appointed Investment Manager.

There is no fixed minimum AUM requirement to launch a sub-fund. However, a credible capital raising plan and a minimum first close commitment are discussed during the initial discussion to ensure viability. We work with emerging managers from seed-stage as well as established houses moving strategies.

Yes. SLI sub-funds require their own fund licence from the FSC, even within the VCC umbrella structure. Prime Fund Management will guide you through the FSC sub-fund licence application process as part of the incubation journey, ensuring all requirements are met ahead of launch.

Yes. The incubator is designed to be a launchpad. As your AUM grows and you build a track record, Prime can support your transition to a standalone Global Business Company fund or assist you in obtaining your own CIS Manager licence — including acting as a reference for the FSC application.
